Ray sharing terms of service

Important! Please carefully read these terms of use ("terms"), as they affect your legal rights and obligations.

1. GENERAL
This Agreement creates binding legal obligations on you. If you do not agree to any of the terms of this Agreement, please do not access the Platform, use any of the services offered through the Platform or register an account for such services.
1.1 These terms and conditions constitute the agreement (“Agreement”) between you (“User”) and RayPB Inc. and our affiliates (“we,” “us,” or “RAY”) regarding your use of RAY powerbank sharing service (“Service”) in the United States of America, and applies to our website (“Website”) and to the RAY application for mobile devices (“RAY App”) using operating systems such as IOS and Android (the Website and the RAY App are collectively called the “Platform”).
1.2 Your use of the Service is subject to this Agreement, our privacy policy (“Privacy Policy”) and powerbank usage rules (“Usage Policy”), which are located on the Platform. You agree to accept our Usage Policy and Privacy Policy which constitute integral parts of this Agreement.
1.3 We reserve the right to modify the terms of this Agreement at any time. Such changes will become effective when we post the modified Agreement on the Platform. Each time you use the Platform or the Service, the then-current version of this Agreement will apply. If you use the Platform or the Service after a modification of this Agreement, you agree to be bound by the terms of this current version of the Agreement as modified.
1.4 This Agreement contains important information regarding your rights with respect to the Platform and the Service, including your relationship with us. Please read this Agreement carefully and review this Agreement regularly.

2. USER QUALIFICATION
You warrant and represent that:
(a) you are aged 18 years or over; and have the requisite mental and legal capacity to enter into this Agreement and use the Services.
(b) any information you submit to us when using the Service is accurate, complete, and current;
(c) your use of the Service does not violate any applicable law or regulation.

3. USER REGISTRATION
3.1 You shall register with the Platform through mobile phone verification or to become a registered user on the Platform. You acknowledge and agree that the information you provide during the user registration process is accurate and complete, and you shall promptly notify us of any changes to the information.
3.2 The user account (“Account”) you create following the registration process shall be personal to you. You may not transfer your Account to anyone else, nor permit or assist others to use the Service through your Account, except for those individuals or businesses that have been expressly authorized by us to create accounts on behalf of their employers or customers.
3.3 After completing the User registration process, you may start using the Service through the Platform in accordance with this Agreement.
3.4 We reserve the right to suspend, deny or revoke your access to your Account, the Platform and/or the Service at any time and at our sole discretion.

Stingray Selling Products & Services by Automatic Vending Machines CO. L.L.C S.O.C ("Stingray", "we", "our", "us") is committed to protecting your privacy. This Privacy Policy explains what personal data we collect, how we use it, the legal basis for such processing, and your rights under the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). By using our services — including the Stingray mobile app, website, powerbank rental stations, or POS terminals — you agree to the terms described herein.

4. ACCOUNT SECURITY
4.1 You are responsible for the security of your Account, including login information and password(s).
4.2 You shall be responsible for all the actions and results carried out under your Account.
4.3 You must notify us immediately of unauthorized use.
4.4 Your Account may only be used by you.

5. USING THE SERVICE
You must use the RAY powerbank responsibly and return it in proper condition.

6. RENTAL FEES
Subscription and rental fees apply and may change with notice.

7. COMPLAINTS

8. BREACH
We may suspend or terminate your account.

9. OWNERSHIP AND INTELLECTUAL PROPERTY
All intellectual property belongs to RayPB Inc.

10. INDEMNIFICATION
You agree to indemnify RAY.

11. TERMINATION
We may terminate access.

12. COVENANTS AND PROHIBITIONS
You must comply with all laws and not misuse the Platform.

DISCLAIMER
The service is provided “as is”.

LIMITATION OF LIABILITY
Ray shall not be liable for damages.

GOVERNING LAW
New York law applies.
