TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER IN SECTION 26, WHICH AFFECT HOW DISPUTES BETWEEN YOU AND US ARE RESOLVED. THEY ALSO INCLUDE A FEE SCHEDULE IN SECTION 8 AND AN AUTHORIZATION FOR US TO CHARGE YOUR PAYMENT METHOD FOR LATE RETURN, DAMAGE, AND NON-RETURN FEES.
These Terms of Service ("Terms") form a binding agreement between you ("you," "User") and RAY PB Inc., a Delaware corporation authorized to do business in New York ("RAY PB," "we," "us," "our"), governing your access to and use of our mobile application, website, portable charger ("Powerbank") rental stations and kiosks, and related services (collectively, the "Service").
By creating an account, tapping to pay, scanning a station code, dispensing a Powerbank, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
  • 1. Eligibility You must be at least thirteen (13) years old to use the Service. By using the Service, you represent and warrant that you are at least thirteen (13) years old, are legally capable of entering into a binding agreement, and that all information you provide to us is accurate, complete, and kept current. If you are using the Service on behalf of a business or other entity, you represent and warrant that you are authorized to bind that entity. You may use the Service only for lawful purposes and in accordance with these Terms. 2. Definitions"Station" means any RAY PB kiosk, cabinet or dispensing unit that releases and accepts Powerbanks.
  • "Rental" means a single transaction beginning with the dispensing of one Powerbank and ending on Confirmed Return, Non-Return, or a Loss Event.
  • "Confirmed Return" means the moment a Station physically accepts and electronically registers the returned Powerbank and our system records the return.
  • "Rental Period" means the elapsed time between dispensing and Confirmed Return, measured in whole hours (any part hour is rounded up to the next full hour).
  • "Non-Return" means a Powerbank that has not achieved Confirmed Return within one hundred twenty (120) hours (5 calendar days) of dispensing.
3. The ServiceRAY PB operates a network of Stations that dispense rentable Powerbanks. You may rent a Powerbank and return it to any RAY PB Station that has an available slot. Station locations, opening hours (which follow the host venue), available cable types, unit charge levels, and network coverage vary and are not guaranteed. Host venues may close, relocate, or restrict access without notice; this does not suspend the accrual of fees, but see Section 9 (Fee Relief) for what to do if you cannot return a unit.
4. Account Registration and SecurityYou must register an account to rent a Powerbank and must provide accurate contact and payment information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at support@raypb.com if you believe your account or payment method has been used without your authorisation. We will not hold you responsible for Rentals resulting from unauthorised account access that you report promptly and that we are able to verify.
5. Electronic Communications and Consent to Electronic RecordsYou consent to receive all agreements, disclosures, receipts, notices and other communications from us electronically — in the app, by email, or by SMS — rather than on paper, under the federal E-SIGN Act and New York State Technology Law Article I. To receive and retain these records you need a device with internet access, a current browser or our app, and a working email address.
  • Transactional messages. We will send Rental confirmations, return confirmations, receipts, fee notices and service alerts. These are necessary to the Service and are not marketing.
  • Marketing messages. We will send marketing emails or SMS only with your prior express consent. Consent to marketing is never a condition of renting. You may opt out at any time by replying STOP to an SMS, using the unsubscribe link in an email, or writing to support@raypb.com. Message and data rates may apply.
  • Withdrawal. You may withdraw consent to electronic records by writing to support@raypb.com, but we will then be unable to provide the Service, and we may close your account.
  • 6. Start and End of a RentalA Rental begins at the moment the Station releases a Powerbank to you, as recorded by our system.
  • A Rental ends only on Confirmed Return. Placing a Powerbank near, on top of, or inside a Station without the Station registering it does not end the Rental and does not stop fees accruing.
  • You are responsible for the Powerbank — including against loss, theft and damage — from dispensing until Confirmed Return.
  • Always wait for the in-app or on-screen return confirmation. If a Station will not accept your unit, do not leave it: use the "Report a problem" function in the app or contact support@raypb.com immediately, and see Section 9.
7. One Powerbank at a Time; Multiple RentalsThe number of Powerbanks you may rent at the same time depends on how you pay for the Rental:
Tap to Pay at a Station. If you rent by tapping a contactless card or digital wallet directly at a Station, you may rent more than one Powerbank at a time, and there is no fixed limit on the number of Powerbanks you may have on Rental at once, subject to unit availability and to any authorisation hold placed on your payment method.
Rental through the app. If you rent through your RAY PB account in the app, you may have only one (1) Powerbank on Rental per account at any given time. You must achieve Confirmed Return of your current Powerbank before you can dispense another through the app.
Each Powerbank you rent is a separate Rental, and the fees, the fee cap and the Non-Return terms in these Terms apply to each unit individually.
8. Fees, Pricing, Taxes and Total Price 8.1 Rental pricingThe price to rent a Powerbank, including the applicable time-based rate and any daily rate, is displayed on the screen of the Station before you dispense a unit, and may also be shown in the app. By dispensing a Powerbank you agree to the price displayed at that time. Prices may vary by location.
8.2 How the cap worksRental fees for any single Powerbank are capped. The maximum billable Rental Period is five (5) days, that is one hundred twenty (120) hours measured from dispensing, and the most you will be charged in rental fees for a single Rental is one hundred U.S. dollars (US $100.00), exclusive of sales tax. Once your accrued rental fees for a unit reach US $100.00, or the Rental Period reaches 120 hours, no further rental fees accrue for that unit. Sales tax (Section 8.3) and any damage fee (Section 16) are separate from, and are not counted toward, this cap. If the Powerbank is never returned, the US $100.00 is charged as the Non-Return fee under Section 16 rather than in addition to it.
8.3 Sales taxThe rental of a Powerbank is a taxable sale under New York Tax Law § 1101(b)(5). New York State and local sales tax (applicable sales and use taxes will be calculated based on the applicable jurisdiction and transaction) is added to your charges and is shown separately on every receipt, as required by New York Tax Law § 1132(a).
8.4 Total-price disclosureEvery price we advertise or display includes all mandatory charges you would have to pay to rent a Powerbank, other than government-imposed sales tax, which is disclosed separately. We do not add mandatory fees at checkout that were not part of the displayed price.
8.5 No card surchargeWe do not impose a surcharge for paying by credit card. The price you see is the price you pay regardless of payment method, consistent with New York General Business Law § 518.
8.6 Price changes and promotionsWe may change prices, run promotions, or introduce location-specific pricing. Any change applies only to Rentals begun after the new price is displayed. A Rental already in progress is billed at the prices displayed when it began.
9. Fee Relief When You Cannot Return a UnitIf you are unable to complete a Confirmed Return because every Station within a reasonable distance is full, offline, inaccessible, or the host venue is closed, contact us at support@raypb.com or through the app before the next fee tier begins, and tell us the Station you attempted and the time. Where our records confirm the problem, we will suspend the accrual of fees from the time you contacted us until a return is possible, and we will refund fees charged in the interim. This provision does not apply where you simply chose not to return the unit.
10. Payment Authorisation, Tap to Pay and Digital Wallets 10.1 AuthorisationBy starting a Rental you authorise RAY PB to charge the payment method you select — a contactless card, a digital wallet such as Apple Pay or Google Pay, or a card stored on file — for all rental fees, Non-Return fees, damage charges and applicable sales tax arising from that Rental, without further authorisation from you at the time each charge is made. This authorisation remains in effect until all amounts owed for the Rental are settled.
10.2 How contactless payment worksContactless payments are read at our Station terminal or by a RAY PB-operated device using Tap to Pay technology and near-field communication (NFC). Your card details are transmitted directly to our payment processor, Adyen N.V. (the "Payment Processor"). RAY PB does not receive, transmit or store your full card number, expiry date, or security code. Where you use Apple Pay or Google Pay, Apple Inc. or Google LLC also processes data under their own terms and privacy policies, which we do not control.
10.3 Card on fileTo enable charges after a Rental ends (for example, late-return or Non-Return fees), the Payment Processor stores a token representing your card, and we retain only that token, the card brand, and the last four digits. You may remove a stored card in the app at any time; you remain liable for amounts already owed.
10.4 Authorisation holdsWe may place a temporary authorisation hold on your payment method at the start of a Rental to verify the card and secure potential fees. The amount of the hold is disclosed to you before you confirm the Rental and will not exceed $60.00. A hold is not a charge. We release the hold when the Rental is settled; the time it takes for the released amount to become available again is set by your card issuer and is outside our control.
11. ReceiptsAn itemised electronic receipt is available for every completed Rental and for every additional charge. We issue receipts on request: you can view and download your receipts in the app at any time, and we will send a receipt to the email address on your account whenever you ask us to, including by writing to support@raypb.com. Each receipt shows the amount charged for each item, the total paid with sales tax stated separately, the date, and our legal name and address, consistent with New York City Consumer Protection Law rules (6 RCNY § 5-32) and New York Tax Law § 1132(a). If you rent without an account at a Station, you may obtain a receipt at the Station screen, by scanning the code displayed at the end of the transaction, or by asking us to email one to you.
12. Refund, Cancellation and Return PolicyThis is our refund policy for the purposes of New York General Business Law § 218-a and 6 RCNY § 5-37. It is also posted at every Station and in the app.
  • Faulty unit. If a Powerbank does not hold or deliver charge, return it to any Station and report it within 24 hours. We will refund all fees for that Rental.
  • Station failure. Fees charged during a period covered by Section 9 are refunded in full.
  • How to request. Email support@raypb.com or use the app. We acknowledge requests within 2 business days and decide within 10 business days.
  • How refunds are issued. To the original payment method, at your option as a refund or an account credit, normally within 5–10 business days of approval.
  • Recovered units. If you pay a Non-Return fee and then return the Powerbank in working condition within 30 days, we refund the difference between the Non-Return fee and the rental fees that had accrued up to hour 120.
13. Payment Methods, Including CashWe accept contactless cards and digital wallets at all Stations. Consistent with New York General Business Law and New York City Administrative Code § 20-847, we do not refuse cash for in-person transactions and we do not charge cash-paying customers more than card-paying customers. Cash may be used through the cash-to-card conversion device located at Stations marked "Cash accepted" and listed in the app; that device charges no fee, accepts deposits from $1, issues a receipt, and produces balances that do not expire. If the device is out of order, the affected Station will display a notice and alternative cash arrangements as required by law.
14. Failed, Reversed and Disputed PaymentsIf a charge is declined, reversed or charged back, we will notify you and give you at least ten (10) days to resolve the balance before suspending your account. We may retry the charge, apply the balance to a different payment method you have authorised, and pursue lawful collection. We will not report you to a consumer reporting agency or refer a balance to a third-party collector without first sending you an itemised statement and a reasonable opportunity to dispute it. If you believe a charge is wrong, contact us first at support@raypb.com — we will investigate and, where we agree, reverse it.
15. Safe Use of PowerbanksPowerbanks contain lithium-ion cells. Read and follow these instructions. They are also printed on each unit and shown in the app.
  • Use only the cables integrated with or supplied with the Powerbank, or a cable certified for your device.
  • Do not open, puncture, crush, disassemble, modify, submerge, or expose a Powerbank to fire, heat above 45°C / 113°F, or prolonged direct sunlight.
  • Do not use a Powerbank that is swollen, cracked, leaking, discoloured, unusually hot, or emitting odour or smoke. Stop using it, keep it away from flammable material, and report it immediately at support@raypb.com. Do not return a damaged unit to a Station.
  • Do not charge a device unattended, under a pillow or bedding, or while sleeping.
  • Keep Powerbanks away from children and pets.
  • Airline rules require spare lithium batteries to be carried in cabin baggage only, never in checked baggage. Airlines may also restrict use in flight. Follow the carrier's rules.
  • Do not use a Powerbank for medical devices, life-support equipment, or any application where failure could cause injury.
We source Powerbanks that are certified by a nationally recognised testing laboratory to the applicable UL safety standard for portable power packs, and we remove units from service on the manufacturer's recommendation or on any safety recall. Report any safety incident to us immediately; we cooperate with the U.S. Consumer Product Safety Commission and the FDNY as required.
16. Loss, Theft and DamagePowerbanks remain our property at all times; a Rental transfers possession, not title. You agree to use a Powerbank with reasonable care and to return it in substantially the condition received, ordinary wear excepted.
  • Loss or Non-Return. The $100 Non-Return fee is a good-faith pre-estimate of our loss — the replacement cost of the unit, the value of the lost rental slot and the administrative cost of removing the unit from the network — agreed as liquidated damages because actual damages would be difficult to calculate. It is not a penalty and does not transfer ownership of the Powerbank to you.
  • Damage. If a returned unit is damaged beyond ordinary wear, we may charge the lesser of the reasonable cost of repair or $100. We will send you photographs or a description of the damage and give you at least ten (10) days to dispute the charge before it is final.
  • No charge without cause. We will not charge a loss or damage fee where our records show the unit was returned and confirmed, or where the damage is attributable to a defect in the unit.
17. Prohibited ConductYou agree not to:
  • use the Service for any unlawful purpose or in violation of these Terms;
  • tamper with, open, disassemble, deface, relocate, or attempt to damage any Powerbank or Station;
  • resell, sublease, lend for consideration, or transfer a rented Powerbank to a third party;
  • use another person's account, payment method or identity without authorisation;
  • interfere with the security or operation of the Service, including by hacking, scraping, reverse engineering, or introducing malicious code;
  • provide false information when registering or when reporting a lost, faulty or damaged unit;
  • use automated means to reserve, dispense or hold units, or to circumvent the one-unit limit or the fee schedule.
We may suspend or terminate your account for a violation of this Section, and may report theft or vandalism of our property to law enforcement.
18. App Store TermsIf you obtained our app from the Apple App Store or Google Play: these Terms are between you and RAY PB only, not with Apple or Google; RAY PB alone is responsible for the app and its content, maintenance, support and any product warranty claims; Apple and Google have no obligation to furnish support; Apple and Google are third-party beneficiaries of these Terms and may enforce them; and you represent that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government restricted-parties list.
19. PrivacyOur Privacy Policy at www.raypb.com/privacy explains what personal information we collect, how we use and share it, how long we keep it, and the choices and rights available to you. It forms part of these Terms.
20. AccessibilityWe aim to make our app, website and Stations usable by people with disabilities, and we work toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. If you encounter a barrier to using the Service, or need assistance completing a Rental or a return, contact support@raypb.com or call [PHONE] and we will provide an alternative means of access.
21. DisclaimersEXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE FULLEST EXTENT PERMITTED BY NEW YORK LAW, THE SERVICE AND THE POWERBANKS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT ANY STATION WILL HAVE AN AVAILABLE UNIT OR AN AVAILABLE SLOT, OR THAT ANY POWERBANK WILL BE FREE OF DEFECTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
22. Limitation of LiabilityTO THE FULLEST EXTENT PERMITTED BY LAW, RAY PB AND ITS OFFICERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE OR PROFITS, ARISING OUT OF OR RELATING TO THE SERVICE OR ANY POWERBANK, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
Nothing in these Terms limits or excludes liability that cannot lawfully be limited, including liability for our gross negligence or wilful misconduct, for death or personal injury caused by our negligence, or for any claim under New York General Business Law §§ 349 or 350. This limitation does not apply to claims arising from a defect in a Powerbank that causes personal injury or property damage.
23. IndemnificationYou agree to indemnify and hold harmless RAY PB and its officers, employees and agents from third-party claims, damages, liabilities and reasonable expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service or a Powerbank, or your violation of any law or third-party right. This does not apply to claims arising from our own negligence or misconduct, or from a defect in a Powerbank.
24. Suspension and TerminationWe may suspend or terminate your account for a suspected violation of these Terms, non-payment, fraud, or misuse of the Service. Except where immediate action is needed to prevent harm, fraud or a legal violation, we will give you notice and an opportunity to cure. You may close your account at any time in the app or by contacting support@raypb.com, subject to payment of amounts you already owe and to the return of any Powerbank in your possession.
25. Changes to the Service or These TermsWe may modify the Service or these Terms. We will notify you of material changes by email and by in-app or on-Station notice at least fifteen (15) days before they take effect, and we will post the updated Terms with a new "Last Updated" date and a summary of what changed. Changes apply prospectively only. If you do not accept a change, stop using the Service and close your account before the effective date. Changes to Section 26 (Dispute Resolution) will not apply to any dispute of which we had notice before the change.
26. Dispute Resolution: Informal Resolution, Arbitration, Class Action WaiverPLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT AND TO HAVE A JURY TRIAL.
26.1 Informal resolution firstBefore starting an arbitration or a court case, you and RAY PB agree to try to resolve the dispute informally for sixty (60) days. Send a written Notice of Dispute to support@raypb.com or to the address in Section 30, describing the claim and the relief sought. We will send any notice to the email on your account. Either party may then start arbitration if the dispute is unresolved. The 60-day period tolls any applicable limitation period.
26.2 Agreement to arbitrateExcept as set out in 26.3, you and RAY PB agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The Federal Arbitration Act governs this Section. The arbitrator has exclusive authority to decide the merits; questions about the validity or enforceability of this arbitration agreement as a whole are for a court. Arbitration will take place in the county where you live or, at your election, by telephone, video or on documents only. We will pay all AAA filing, administration and arbitrator fees for claims under $10,000 unless the arbitrator finds the claim frivolous.
26.3 ExceptionsEither party may bring an individual action in small claims court. Either party may seek injunctive relief in court for intellectual property infringement or unauthorised access to the Service. Nothing in this Section prevents you from filing a complaint with the New York City Department of Consumer and Worker Protection, the New York Attorney General, or any other government agency.
26.4 Class action and jury trial waiverYOU AND RAY PB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. YOU AND RAY PB WAIVE THE RIGHT TO A TRIAL BY JURY. IF THIS PARAGRAPH IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM OR REMEDY, THAT CLAIM OR REMEDY SHALL BE SEVERED AND HEARD IN COURT, AND THE REMAINDER OF THIS SECTION SHALL REMAIN IN EFFECT.
26.5 Your right to opt outYou may opt out of Sections 26.2 and 26.4 by sending written notice to support@raypb.com or to our address within thirty (30) days of first accepting these Terms, stating your name, the email on your account, and that you wish to opt out of arbitration. Opting out does not affect any other part of these Terms and will not affect your access to the Service.
26.6 SurvivalThis Section survives termination of your account and of these Terms.
27. Governing Law and VenueThese Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except that Section 26 is governed by the Federal Arbitration Act. For any dispute not subject to arbitration, the state and federal courts located in New York County, New York have exclusive jurisdiction, and both parties consent to that venue. Nothing in this Section deprives you of the protection of any mandatory consumer-protection law of the state in which you reside.
28. Force MajeureWe are not liable for delay or failure in performance caused by events beyond our reasonable control, including natural disasters, fire, power or network outages, acts of government, epidemics, or labour disputes. This Section does not excuse us from refunding amounts you have paid for a Rental we could not provide.
  • 29. MiscellaneousEntire agreement. These Terms and the Privacy Policy are the entire agreement between you and RAY PB concerning the Service.
  • Severability. If any provision is unenforceable, it is severed and the rest remains in force.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets, on notice to you.
  • Notices. We may give notice by email, SMS, in the app, or on a Station screen. You may give notice to us at support@raypb.com.
  • Language. These Terms are made in English. Any translation is for convenience only; the English version controls.
  • Survival. Sections 8, 11, 14, 16, 21, 22, 23, 26, 27 and 29 survive termination.
